歡迎您與北京蒸汽記憶科技有限公司(以下簡稱“蒸汽記憶”)共同簽署本《Authing 產(chǎn)品服務(wù)協(xié)議》(下稱“本協(xié)議”)并使用 Authing 服務(wù)!

【簽約動作】當(dāng)您閱讀并點(diǎn)擊同意本協(xié)議或以其他方式選擇接受本協(xié)議后,即表示您已充分閱讀、理解并接受本協(xié)議的全部內(nèi)容,并與蒸汽記憶達(dá)成一致。本協(xié)議自您通過網(wǎng)絡(luò)頁面點(diǎn)擊確認(rèn)或以其他方式選擇接受本協(xié)議之日起成立。閱讀本協(xié)議的過程中,如果您不同意本協(xié)議或其中任何條款約定,請勿進(jìn)行簽約動作。

通用服務(wù)條款

1. 簽約主體及協(xié)議范圍

本服務(wù)協(xié)議是您與北京蒸汽記憶科技有限公司就您使用 Authing 服務(wù)所簽署的服務(wù)協(xié)議。

2. 服務(wù)內(nèi)容

本條款中“服務(wù)”指:Authing 服務(wù) authing.cnauthing.co 網(wǎng)站和客戶端(以下單獨(dú)或統(tǒng)稱“Authing”)所展示的、您申請訂購且 Authing 同意向您提供的服務(wù)

3. 服務(wù)費(fèi)用

3.1. 服務(wù)費(fèi)用將在您訂購頁面予以列明公示,您可自行選擇具體服務(wù)類型并按列明的價格予以支付。Authing 僅供選擇先付費(fèi)的服務(wù)。

3.2. 先付費(fèi):

3.2.1. 在您付費(fèi)之后,Authing 才開始為您提供服務(wù)。您未在下單后立即付費(fèi)的,訂單會失效,訂單失效后 Authing 與您就服務(wù)所達(dá)成的合意失效。

3.2.2. 服務(wù)期滿雙方愿意繼續(xù)合作的,您至少應(yīng)在服務(wù)期滿前7天內(nèi)支付續(xù)費(fèi)款項(xiàng),以使服務(wù)得以繼續(xù)進(jìn)行。

3.3. Authing 保留在您未按照約定支付全部費(fèi)用之前不向您提供服務(wù)和/或技術(shù)支持,或者終止服務(wù)和/或技術(shù)支持的權(quán)利。同時,Authing 保留對您的欠費(fèi)要求您按日承擔(dān)萬分之五的違約金以及追究其他法律責(zé)任的權(quán)利。

3.4. 您完全理解 Authing 價格體系中所有的贈送服務(wù)項(xiàng)目或優(yōu)惠活動均為 Authing 在正常服務(wù)價格之外的一次性特別優(yōu)惠,贈送的服務(wù)項(xiàng)目或優(yōu)惠活動不可折價、沖抵服務(wù)價格。

4. 您的權(quán)利和義務(wù)

4.1. 成功訂購服務(wù)后,您有權(quán)要求 Authing 按照本服務(wù)協(xié)議以及 Authing 網(wǎng)站相關(guān)頁面所展示的服務(wù)說明、技術(shù)規(guī)范等內(nèi)容向您提供服務(wù)。

4.2. 您訂購 Authing 的服務(wù)后,您可享受免費(fèi)的售后服務(wù)。除此之外 Authing 并提供其他付費(fèi)的技術(shù)服務(wù)。

4.3. 您應(yīng)按照 Authing 的網(wǎng)站頁面提示及本服務(wù)協(xié)議的約定支付相應(yīng)服務(wù)費(fèi)用。

4.4. 就 Authing 服務(wù)的使用應(yīng)符合 Authing 的《服務(wù)使用規(guī)則》以及本服務(wù)協(xié)議。

4.5. 您對自己存放在 Authing 云平臺上的數(shù)據(jù)以及進(jìn)入和管理 Authing 云平臺上各類產(chǎn)品與服務(wù)的口令、密碼的完整性和保密性負(fù)責(zé)。因您維護(hù)不當(dāng)或保密不當(dāng)致使上述數(shù)據(jù)、口令、密碼等丟失或泄漏所引起的損失和后果均由您承擔(dān)。

4.6. 您須依照《網(wǎng)絡(luò)安全法》、《互聯(lián)網(wǎng)信息服務(wù)管理辦法》等法律法規(guī)的規(guī)定保留自己網(wǎng)站的訪問日志記錄,包括發(fā)布的信息內(nèi)容及其發(fā)布時間、互聯(lián)網(wǎng)地址(IP)、域名等,國家有關(guān)機(jī)關(guān)依法查詢時應(yīng)配合提供。您將承擔(dān)未按規(guī)定保留相關(guān)記錄而引起的相應(yīng)法律責(zé)任。

4.7. 為了數(shù)據(jù)的安全,您應(yīng)負(fù)責(zé)您數(shù)據(jù)的備份工作。 Authing 的產(chǎn)品或服務(wù)可能會為您配置數(shù)據(jù)備份的功能或工具,您負(fù)責(zé)操作以完成備份。

4.8. 您應(yīng)對您的用戶業(yè)務(wù)數(shù)據(jù)的來源及內(nèi)容負(fù)責(zé),Authing 提示您謹(jǐn)慎判斷數(shù)據(jù)來源及內(nèi)容的合法性。您將承擔(dān)因您的用戶業(yè)務(wù)數(shù)據(jù)內(nèi)容違反法律法規(guī)、部門規(guī)章或國家政策而造成的相應(yīng)結(jié)果及責(zé)任。

4.9. 您理解并同意,中華人民共和國的國家秘密受法律保護(hù),您有保守中華人民共和國的國家秘密的義務(wù);您使用 Authing 服務(wù)應(yīng)遵守相關(guān)保密法律法規(guī)的要求,并不得危害中華人民共和國國家秘密的安全。

4.10. 您還應(yīng)仔細(xì)閱讀并遵守 Authing 在網(wǎng)站頁面上展示的相應(yīng)服務(wù)說明、技術(shù)規(guī)范、使用流程、操作文檔等內(nèi)容(以上簡稱“操作指引”),依照相關(guān)操作指引進(jìn)行操作。您將承擔(dān)違反相關(guān)操作指引所引起的后果;同時,Authing 鄭重提示您,請把握風(fēng)險謹(jǐn)慎操作。

5. Authing 的權(quán)利、義務(wù)

5.1. Authing 應(yīng)按照約定提供服務(wù)。

5.2. 服務(wù)期限內(nèi),Authing 將為您提供如下售后服務(wù):

5.2.1. Authing 將提供 7×24 企業(yè)微信服務(wù)群以及在線工單咨詢服務(wù),解答您在使用中的問題;

5.2.2. Authing 將為您提供故障支持服務(wù),您應(yīng)通過在線工單申報故障; Authing 將及時就您非人為操作所出現(xiàn)的故障提供支持,但因您的人為原因和/或不可抗力、以及其他非 Authing 控制范圍內(nèi)的事項(xiàng)除外。

5.3. 您還可通過 Authing 獲得其他付費(fèi)的售后服務(wù),具體詳見 Authing 的網(wǎng)站相關(guān)頁面的收費(fèi)售后服務(wù)內(nèi)容。

5.4. Authing 僅負(fù)責(zé) Authing 提供的軟件的運(yùn)營維護(hù),Authing 軟件之外部分(如您的身份源、數(shù)據(jù)源、應(yīng)用程序)由您負(fù)責(zé)。

5.5. 您了解 Authing 無法保證其所提供的服務(wù)毫無瑕疵(如 Authing 安全產(chǎn)品并不能保證您的硬件或軟件的絕對安全),但 Authing 承諾不斷提升服務(wù)質(zhì)量及服務(wù)水平。所以您同意:即使 Authing 提供的服務(wù)存在瑕疵,但上述瑕疵是當(dāng)時行業(yè)技術(shù)水平所無法避免的,其將不被視為 Authing 違約。您同意和 Authing 一同合作解決上述瑕疵問題。

5.6. Authing 的某些服務(wù)可能具備賬戶授權(quán)管理功能,即您可將您對服務(wù)的全部或部分操作權(quán)限授權(quán)給您指定的一個或多個被授權(quán)賬戶,此種情況下,任一被授權(quán)賬戶下進(jìn)行的所有操作行為,均將被視為您通過本人賬戶所進(jìn)行的行為,都將由您承擔(dān)相應(yīng)的責(zé)任和由此產(chǎn)生的服務(wù)費(fèi)用

5.7. 您理解并認(rèn)可,Authing 將為您提供基于某些服務(wù)的安全協(xié)議(如 LDAP、SAML、OIDC)以及管理與監(jiān)控的相關(guān)功能及服務(wù)(如“用戶概覽”),盡管 Authing 對該等服務(wù)經(jīng)過詳細(xì)的測試,但并不能保證其與所有的軟硬件系統(tǒng)完全兼容,亦不能保證其軟件及服務(wù)的完全準(zhǔn)確性。如果出現(xiàn)不兼容及軟件錯誤的情況,您應(yīng)立即關(guān)閉或停止使用相關(guān)功能,并及時聯(lián)系 Authing ,獲得技術(shù)支持。

5.8. 您應(yīng)理解并同意,Authing 在對服務(wù)進(jìn)行公測、邀測等您免費(fèi)試(使)用服務(wù)期間或免費(fèi)服務(wù)額度內(nèi),雖然 Authing 會對服務(wù)可用性和可靠性提供支撐,但將不對任何服務(wù)可用性、可靠性做出承諾,Authing 亦不對您使用或不能使用 Authing 服務(wù)的工作或結(jié)果承擔(dān)任何責(zé)任。 Authing 保留日后對該等免費(fèi)服務(wù)收取費(fèi)用的可能性,收取服務(wù)費(fèi)用之前,Authing 將另行通知您。

6. 用戶業(yè)務(wù)數(shù)據(jù)

6.1. Authing 理解并認(rèn)可,您通過 Authing 提供的服務(wù),加工、存儲、上傳、下載、分發(fā)以及通過其他方式處理的數(shù)據(jù),均為您的用戶業(yè)務(wù)數(shù)據(jù),您完全擁有您的用戶業(yè)務(wù)數(shù)據(jù)。

6.2. 就用戶業(yè)務(wù)數(shù)據(jù),Authing 除執(zhí)行您的服務(wù)要求外,不進(jìn)行任何未獲授權(quán)的使用及披露;但以下情形除外:

6.2.1. 在國家有關(guān)機(jī)關(guān)依法查詢或調(diào)閱用戶業(yè)務(wù)數(shù)據(jù)時,Authing 具有按照相關(guān)法律法規(guī)或政策文件要求提供配合,并向第三方或者行政、司法等機(jī)構(gòu)披露的義務(wù);

6.2.2. 您和 Authing 另行協(xié)商一致。

6.3. 您可自行對您的用戶業(yè)務(wù)數(shù)據(jù)進(jìn)行刪除、更改等操作。如您釋放服務(wù)或刪除數(shù)據(jù)的,Authing 將刪除您的數(shù)據(jù),按照您的指令不再保留該等數(shù)據(jù)。就數(shù)據(jù)的刪除、更改等操作,您應(yīng)謹(jǐn)慎操作

6.4. 當(dāng)服務(wù)期屆滿、服務(wù)提前終止(包括雙方協(xié)商一致提前終止,其他原因?qū)е碌奶崆敖K止等)或您發(fā)生欠費(fèi)時,除法律法規(guī)明確規(guī)定、主管部門要求或雙方另有約定外,Authing 僅在一定的緩沖期(以您所訂購的服務(wù)適用的專有條款、產(chǎn)品文檔、服務(wù)說明等所載明的時限為準(zhǔn))內(nèi)繼續(xù)存儲您的用戶業(yè)務(wù)數(shù)據(jù)(如有),緩沖期屆滿 Authing 將刪除所有用戶業(yè)務(wù)數(shù)據(jù),包括所有緩存或者備份的副本,不再保留您的任何用戶業(yè)務(wù)數(shù)據(jù)。

6.5. 用戶業(yè)務(wù)數(shù)據(jù)一經(jīng)刪除,即不可恢復(fù);您應(yīng)承擔(dān)數(shù)據(jù)因此被刪除所引發(fā)的后果和責(zé)任,您理解并同意,Authing 沒有繼續(xù)保留、導(dǎo)出或者返還用戶業(yè)務(wù)數(shù)據(jù)的義務(wù)。

6.6. Authing 恪守對用戶的安全承諾,根據(jù)適用的法律保護(hù)用戶存儲在 Authing 數(shù)據(jù)中心的數(shù)據(jù)。

7. 知識產(chǎn)權(quán)

7.1. 在本協(xié)議項(xiàng)下一方向?qū)Ψ教峁┑娜魏钨Y料、技術(shù)或技術(shù)支持、軟件、服務(wù)等的知識產(chǎn)權(quán)均屬于提供一方或其合法權(quán)利人所有; 除提供方或合法權(quán)利人明示同意外,另一方無權(quán)復(fù)制、傳播、轉(zhuǎn)讓、許可或提供他人使用上述知識成果,否則應(yīng)承擔(dān)相應(yīng)的責(zé)任。

7.2. 您應(yīng)保證提交 Authing 的素材、對 Authing 服務(wù)的使用及使用 Authing 服務(wù)所產(chǎn)生的成果未侵犯任何第三方的合法權(quán)益。 Authing 應(yīng)保證向您提供的服務(wù)未侵犯任何第三方的合法權(quán)益。

7.3. 如果第三方機(jī)構(gòu)或個人對您使用 Authing 服務(wù)所涉及的相關(guān)素材的知識產(chǎn)權(quán)歸屬提出質(zhì)疑或投訴,或?qū)δ褂玫?Authing 服務(wù)的知識產(chǎn)權(quán)的歸屬提出質(zhì)疑或投訴,您和 Authing 均有責(zé)任出具相關(guān)知識產(chǎn)權(quán)證明材料,并配合對方的相關(guān)投訴處理工作。對于因此引起的索賠、訴訟或可能向其提起訴訟,違約方應(yīng)負(fù)責(zé)解決,承擔(dān)費(fèi)用和損失,以及使另一方免責(zé)。

8. 保密條款

8.1. 本服務(wù)條款所稱保密信息,是指一方(以下簡稱“接受方”)從對方(以下簡稱“披露方”)取得的、獲知的、或因雙方履行本協(xié)議而產(chǎn)生的商業(yè)秘密(包括財務(wù)秘密)、技術(shù)秘密、經(jīng)營訣竅和(或)其他應(yīng)予保密的信息和資料(包括產(chǎn)品資料,產(chǎn)品計劃,價格,財務(wù)及營銷規(guī)劃,業(yè)務(wù)戰(zhàn)略,客戶信息,客戶數(shù)據(jù),研發(fā),軟件,硬件,API應(yīng)用數(shù)據(jù)接口,技術(shù)說明,設(shè)計,特殊公式,特殊算法等),無論上述信息和資料以何種形式或載于何種載體,無論披露方在披露時是否以口頭、圖像或書面等方式表明其具有保密性。

8.2. 雙方應(yīng)采取適當(dāng)措施妥善保存對方提供的保密信息,措施的審慎程度不少于其保護(hù)自身的保密信息時的審慎程度。雙方僅能將保密信息用于與本協(xié)議項(xiàng)下的有關(guān)用途或目的。

8.3. 雙方保證保密信息僅可在各自一方從事該業(yè)務(wù)的負(fù)責(zé)人和雇員范圍內(nèi)知悉,并嚴(yán)格限制接觸上述保密信息的員工遵守本條之保密義務(wù)。

8.4. 本條上述限制條款不適用于以下情況:

8.4.1. 在簽署本協(xié)議之時或之前,該保密信息已以合法方式屬接受方所有;

8.4.2. 保密信息在通知給接受方時,已經(jīng)公開或能從公開領(lǐng)域獲得;

8.4.3. 保密信息是接受方從與其沒有保密或不透露義務(wù)的第三方獲得的;

8.4.4. 在不違反本協(xié)議約定責(zé)任的前提下,該保密信息已經(jīng)公開或能從公開領(lǐng)域獲得;

8.4.5. 該保密信息是接受方或其關(guān)聯(lián)或附屬公司獨(dú)立開發(fā),而且未從通知方或其關(guān)聯(lián)或附屬公司獲得的信息中獲益;

8.4.6. 接受方應(yīng)法院或其它法律、行政管理部門要求(通過口頭提問、詢問、要求資料或文件、傳喚、民事或刑事調(diào)查或其他程序)因而透露保密信息;

8.4.7. 接受方為向行政管理部門、行業(yè)協(xié)會等機(jī)構(gòu)申請某項(xiàng)業(yè)務(wù)資質(zhì)、獲得某項(xiàng)認(rèn)定、或符合國家、行業(yè)標(biāo)準(zhǔn)/認(rèn)證,需結(jié)合對方情況向前述機(jī)構(gòu)提交材料或進(jìn)行說明的而披露的信息,在該等情況下,接受方應(yīng)秉持必要情況下最少披露原則及要求因此獲知保密信息的機(jī)構(gòu)按不低于本協(xié)議的標(biāo)準(zhǔn)予以保密。

8.5. 您和 Authing 都應(yīng)盡最大的努力保護(hù)上述保密信息不被泄露。一旦發(fā)現(xiàn)有上述保密信息泄露事件,雙方應(yīng)合作采取一切合理措施避免或者減輕損害后果的產(chǎn)生。如因此給對方造成損失的,應(yīng)賠償因此給對方造成的直接經(jīng)濟(jì)損失。

9. 服務(wù)的開通、終止與變更

9.1. 先付費(fèi)的服務(wù):

9.1.1. 您付費(fèi)后服務(wù)即開通,開通后您獲得 Authing 向您發(fā)送的登錄、使用服務(wù)的密鑰、口令即可使用服務(wù),服務(wù)期限自開通之時起算(而非自您獲得登錄、使用服務(wù)的密鑰、口令時起算);

9.1.2. 以包年包月等固定期限形式售賣的服務(wù),服務(wù)期限至訂購的期限屆滿為止;以資源包(或套餐包)形式售賣的服務(wù),服務(wù)期限則至您訂購的資源包服務(wù)期限到期或資源包中的服務(wù)被使用完畢為止(以前述二者早發(fā)生為準(zhǔn));

9.1.3. 您應(yīng)在服務(wù)期限內(nèi)將資源包的服務(wù)數(shù)量使用完畢,如資源包的服務(wù)期限屆滿,您已訂購但未使用完畢的服務(wù)將被作廢且 Authing 將不提供其他替代或補(bǔ)充。

9.1.4. 您對于服務(wù)的使用將優(yōu)先消耗訂購的資源包,除法定及雙方另行約定外,如資源包中的各項(xiàng)服務(wù)使用完畢或者服務(wù)期限到期,且您未繼續(xù)訂購資源包服務(wù)但持續(xù)使用此項(xiàng)服務(wù)的,Authing 將視為您使用 Authing 以后付費(fèi)形式售賣的該服務(wù)(如有),Authing 將持續(xù)計費(fèi)并根據(jù)計費(fèi)結(jié)果予以扣劃服務(wù)費(fèi)用。

9.2. 發(fā)生下列情形之一的,服務(wù)期限提前終止:

9.2.1. 雙方協(xié)商一致提前終止的;

9.2.2. 您嚴(yán)重違反本協(xié)議(包括,您嚴(yán)重違反相關(guān)法律法規(guī)規(guī)定,或您嚴(yán)重違反本協(xié)議項(xiàng)下之任一承諾內(nèi)容等),Authing 有權(quán)提前終止服務(wù)直至清除您的全部數(shù)據(jù);

9.2.3. 您理解并充分認(rèn)可,雖然 Authing 已經(jīng)建立(并將根據(jù)技術(shù)的發(fā)展不斷完善)必要的技術(shù)措施來防御包括計算機(jī)病毒、網(wǎng)絡(luò)入侵和攻擊破壞(包括DDoS)等危害網(wǎng)絡(luò)安全事項(xiàng)或行為(以下統(tǒng)稱該等行為),但鑒于網(wǎng)絡(luò)安全技術(shù)的局限性、相對性以及該等行為的不可預(yù)見性,因此如因您網(wǎng)站遭遇該等行為而給 Authing 或者 Authing 的其他網(wǎng)絡(luò)或服務(wù)器(包括本地及外地和國際的網(wǎng)絡(luò)、服務(wù)器等)帶來危害,或影響 Authing 與國際互聯(lián)網(wǎng)或者 Authing 與特定網(wǎng)絡(luò)、服務(wù)器及 Authing 內(nèi)部的通暢聯(lián)系,Authing 可決定暫停或終止服務(wù)。如果終止服務(wù)的,將按照實(shí)際提供服務(wù)月份計算(不足一個月的按天計)服務(wù)費(fèi)用,將剩余款項(xiàng)(如有)返還。

9.2.4. Authing 可提前30天在 Authing 網(wǎng)站上通告或給您發(fā)網(wǎng)站內(nèi)通知或書面通知的方式終止本服務(wù)服務(wù)協(xié)議;屆時 Authing 應(yīng)將您已預(yù)付但未消費(fèi)的款項(xiàng)退還至您的 Authing 賬戶。

9.3. 您理解并認(rèn)可,為技術(shù)升級、服務(wù)體系升級、或因經(jīng)營策略調(diào)整或配合國家重大技術(shù)、法規(guī)政策等變化,Authing 不保證永久的提供某種服務(wù),并有權(quán)變更所提供服務(wù)的形式、規(guī)格或其他方面(如服務(wù)的價格和計費(fèi)模式),在終止該種服務(wù)或進(jìn)行此種變更前,Authing 將盡最大努力且提前以網(wǎng)站公告、站內(nèi)信、郵件或短信等一種或多種方式進(jìn)行事先通知。

10. 違約責(zé)任

10.1. 您違反本協(xié)議中的承諾、保證條款、服務(wù)使用規(guī)則或義務(wù)的任一內(nèi)容,或 Authing 根據(jù)其判斷認(rèn)為您的使用行為存在異常的,Authing 均有權(quán)就其情節(jié),根據(jù)獨(dú)立判斷并單方采取以下措施中的一種或多種:(1)限制、中止使用服務(wù);(2)終止提供服務(wù),終止本協(xié)議;(3)追究您的法律責(zé)任;(4)其他 Authing 認(rèn)為適合的處理措施。 Authing 依據(jù)前述約定采取中止服務(wù)、終止服務(wù)等措施而造成的用戶損失將由您承擔(dān)。

10.2. 如因您違反有關(guān)法律法規(guī)或者本協(xié)議、相關(guān)規(guī)則之規(guī)定,使 Authing 遭受任何損失、受到其他用戶、任何第三方的索賠或任何行政管理部門的處罰,您應(yīng)對 Authing、其他用戶或相關(guān)第三方的實(shí)際損失進(jìn)行全額賠償,包括合理的律師費(fèi)用。

10.3. 您理解且同意,鑒于計算機(jī)、互聯(lián)網(wǎng)的特殊性,下述情況不屬于 Authing 違約:

10.3.1. Authing 在進(jìn)行系統(tǒng)及服務(wù)器配置、維護(hù)、升級時,需要短時間中斷服務(wù);

10.3.2. 由于 Internet 上的通路阻塞造成您網(wǎng)站訪問速度下降。

10.4. 如果因 Authing 原因造成您連續(xù) 72 小時不能正常使用服務(wù)的,您可終止接受服務(wù),但非 Authing 控制之內(nèi)的原因引起的除外。

10.5. 在任何情況下,Authing 均不對任何間接性、后果性、懲戒性、偶然性、特殊性的損害,包括您使用 Authing 服務(wù)而遭受的利潤損失承擔(dān)責(zé)任(即使您已被告知該等損失的可能性)。

10.6. 在法律允許的情況下,Authing 在本協(xié)議項(xiàng)下所承擔(dān)的損失賠償責(zé)任不超過就該服務(wù)過往 12 個月所繳納的服務(wù)費(fèi)用的總和。

11. 不可抗力

11.1. 因不可抗力或者其他意外事件,使得本服務(wù)條款的履行不可能、不必要或者無意義的,遭受不可抗力、意外事件的一方不承擔(dān)責(zé)任。

11.2. 不可抗力、意外事件是指不能預(yù)見、不能克服并不能避免且對一方或雙方當(dāng)事人造成重大影響的客觀事件,包括自然災(zāi)害如洪水、地震、瘟疫流行等以及社會事件如戰(zhàn)爭、動亂、政府行為、電信主干線路中斷、黑客、網(wǎng)路堵塞、電信部門技術(shù)調(diào)整和政府管制等。

12. 法律適用及爭議解決

12.1. 本協(xié)議之訂立、生效、解釋、修訂、補(bǔ)充、終止、執(zhí)行與爭議解決均適用中華人民共和國大陸法律。

12.2. 您因使用 Authing 服務(wù)所產(chǎn)生及與 Authing 服務(wù)有關(guān)的爭議,由 Authing 與您協(xié)商解決。協(xié)商不成時,任何一方均可向北京市海淀區(qū)人民法院提起訴訟。

13. 附則

13.1. 本協(xié)議的附件,以及 Authing 在 Authing 網(wǎng)站相關(guān)頁面上的服務(wù)說明、價格說明和您確認(rèn)同意的訂購頁面(包括產(chǎn)品的專用條款、服務(wù)說明、操作文檔等)均為本協(xié)議不可分割的一部分。如遇不一致之處,以(1)服務(wù)說明、價格說明、其他訂購頁面,(2)專用條款和附件,(3)本協(xié)議通用條款的順序予以適用。

13.2. 如本協(xié)議內(nèi)容發(fā)生變動,Authing 應(yīng)通過提前30天在 Authing 網(wǎng)站的適當(dāng)版面公告向您提示修改內(nèi)容;如您繼續(xù)使用 Authing 服務(wù),則視為您接受 Authing 所做的相關(guān)修改。

13.3. Authing 有權(quán)經(jīng)提前通知將本協(xié)議的權(quán)利義務(wù)全部或者部分轉(zhuǎn)移給 Authing 的關(guān)聯(lián)公司。

13.4. Authing 于您過失或違約時放棄本協(xié)議規(guī)定的權(quán)利,不應(yīng)視為其對您的其他或以后同類之過失或違約行為棄權(quán)。

13.5. 本協(xié)議任一條款被視為廢止、無效或不可執(zhí)行,該條應(yīng)視為可分的且并不影響本協(xié)議其余條款的有效性及可執(zhí)行性。

13.6. 本協(xié)議項(xiàng)下之保證條款、保密條款、知識產(chǎn)權(quán)條款、法律適用及爭議解決條款等內(nèi)容,不因本協(xié)議的終止而失效。

Authing Subscription Agreement

1. Service and Professional Services.

1.1. Authing’s Obligations.

Authing shall make the Service available to Customer pursuant to this Agreement and the applicable Order Form during the Term, and grants to Customer a limited, non-sublicensable, non-exclusive, non-transferable (except as expressly permitted in Section 12.1) right during the Term to allow its Users to access and use the Service in accordance with the Documentation, solely for Customer’s business purposes. Customer agrees that its purchase of the Service or the Professional Services is neither contingent upon the delivery of any future functionality or features nor dependent upon any oral or written public comments made by Authing with respect to future functionality or features. Authing will comply with all applicable Laws in its provision of the Service. Authing shall use commercially reasonable efforts to make the Service available to Customer 24 hours a day, 7 days a week, every day of each year (except for any unavailability caused by a Force Majeure event).

1.2. Customer’s Obligations.

a) Customer is responsible for all activities conducted under its and its Users’ logins to the Service. Customer shall use the Service in compliance with this Agreement, the applicable Order Forms, Documentation, and all applicable Laws and shall not: (i) copy, rent, sell, lease, distribute, pledge, assign, or otherwise transfer, or encumber rights to the Service, or any part thereof, or make it available to anyone other than its Users; (ii) send or store in the Service any personal health data, credit card data, personal financial data or other such sensitive data; (iii) send or store infringing or unlawful material in connection with the Service; (iv) send or store Malicious Code to the Service; (v) attempt to gain unauthorized access to, or disrupt the integrity or performance of, the Service or the data contained therein; (vi) modify, copy or create derivative works based on the Service, or any portion thereof; (vii) access the Service for the purpose of building a competitive product or service or copying its features or user interface; or (viii) delete, alter, add to or fail to reproduce in and on the Service the name of Authing and any copyright or other notices appearing in or on the Service or which may be required by Authing at any time.

b) Any use of the Service in breach of this Agreement, Documentation or Order Forms by Customer or Users that in Authing’s judgment threatens the security, integrity or availability of the Service may result in Authing’s immediate suspension of Customer’s access to the Service; however, Authing will use commercially reasonable efforts under the circumstances to provide Customer with notice and an opportunity to remedy such violation or threat prior to such suspension.

1.3. Professional Service (Custom Development Engineer).

Customer and Authing may enter into Statements of Work that describe the specific Professional Services to be performed by Authing. If applicable, while on Customer premises for Professional Services, Authing personnel shall comply with reasonable Customer rules and regulations regarding safety, and conduct made known to Authing, and will, at Customer’s reasonable request, promptly remove from the project any Authing personnel not following such rules and regulations.

2. Security and Support.

2.1. Security.

Authing shall maintain appropriate administrative, physical, and technical safeguards to protect the security and integrity of the Service and the Customer Data.

2.2. Support Services.

During the Term, Authing shall provide Support Services to Customer in accordance with Authing’s then-current support policy, and as identified in an Order Form. In the event that the level of support is not identified in the Order Form, Customer shall receive a “Developer” level of support that is included in the Service at no additional cost. Any updates or modifications to the Support Services will not materially diminish Authing’s responsibilities under the support policy during the Term.

2.3. Confidentiality.

Each party agrees to protect the Confidential Information (as defined below) of the other party in the same manner that it protects the confidentiality of its own proprietary and confidential information of like kind, but in no event using less than a reasonable standard of care. A party shall not: (i) disclose or use any Confidential Information of the other party for any purpose outside the scope of this Agreement, except with the disclosing party’s prior written permission and (ii) disclose or make the other party’s Confidential Information available to any party, except those of its employees, contractors, and agents that have signed an agreement containing disclosure and use provisions substantially similar to those set forth herein and have a “need to know” in order to carry out the purpose of this Agreement. Confidential Information shall not include any information that (a) is or becomes generally known to the public, other than as a result of the act or omission of the receiving party; (b) were rightfully known to a party prior to its disclosure by the other party without breach of any obligation owed to the other party; (c) is lawfully received from a third party without breach of any obligation owed to the other party; or (d) was independently developed by a party without breach of any obligation owed to the other party. If a party is compelled by law to disclose Confidential Information of the other party, it shall provide prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance, at the other party's cost, if the other party wishes to contest the disclosure. Due to the unique nature of the parties’ Confidential Information disclosed hereunder, there can be no adequate remedy at law for a party’s breach of its obligations hereunder, and any such breach may result in irreparable harm to the non-breaching party. Therefore, upon any such breach or threat thereof, the party alleging breach shall be entitled to seek injunctive and other appropriate equitable relief in addition to any other remedies available to it.

4. Ownership, Feedback, and Statistical Usage Data.

4.1. Customer Data.

As between Authing and Customer, Customer owns its Customer Data. Customer grants to Authing, its Affiliates and applicable contractors a worldwide, limited-term license to host, copy, transmit and display Customer Data, as reasonably necessary for Authing to provide the Service in accordance with this Agreement. Subject to the limited licenses granted herein, Authing acquires no right, title or interest in any Customer Data. Customer shall be responsible for the accuracy, quality and legality of Customer Data and the means by which Customer acquired Customer Data.

4.2. Authing Ownership of the Service.

Except for the rights expressly granted under this Agreement, Authing and its licensors retain all right, title, and interest in and to the Service, Documentation and Professional Services, including all related intellectual property rights inherent therein. If Customer purchases Professional Services, Authing grants to Customer a worldwide, non-exclusive, non-transferable (except as expressly permitted in Section 12.1), non-sublicensable right to use the Professional Services solely for Customer’s use with the Service. No rights are granted to Customer hereunder other than as expressly set forth in this Agreement.

4.3. Feedback.

Authing shall have a royalty-free, worldwide, transferable, sublicenseable, irrevocable, perpetual license to use or incorporate into its products and services any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by Customer or its Users relating to the features, functionality or operation of the Service, or the Professional Services (“Feedback”). Authing shall have no obligation to use Feedback, and Customer shall have no obligation to provide Feedback.

4.4. Statistical Usage Data.

Authing owns the statistical usage data derived from the operation of the Service, including data regarding web applications utilized in connection with the Service, configurations, log data, and the performance results for the Service (“Usage Data”). Nothing herein shall be construed as prohibiting Authing from utilizing the Usage Data for purposes of operating Authing’s business; provided that the Usage Data shall be de-identified and presented in the aggregate so that it will not disclose the identity of Customer or any User(s) to any third party.

5. Fees, Expenses, and Taxes.

5.1. Fees.

Customer agrees to pay Authing all fees set forth in the oder form in accordance with this Agreement and the Order Form. If not otherwise specified on an Order Form, all such Fees (except Fees subject to a good faith dispute) will be due within thirty (30) days of date of invoice. Except as otherwise specifically provided in this Agreement, all Fees paid and payable to Authing hereunder are non- cancelable and non-refundable. All Fees are based on access rights acquired and not actual usage. If Customer fails to pay any amounts due under this Agreement by the due date, in addition to any other rights or remedies it may have under this Agreement or by matter of law, (i) Authing reserves the right to suspend the Service upon thirty (30) days written notice, until such amounts are paid in full, and (ii) Authing will have the right to charge interest at a rate equal to the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable Law until Customer pays all amounts due; provided that Authing will not exercise its right to charge interest if the applicable charges are under reasonable and good faith dispute and Customer is cooperating diligently to resolve the issue.

5.2. Expenses.

Unless otherwise specified in the applicable Statement of Work, upon invoice from Authing, Customer will reimburse Authing for all pre-approved, reasonable expenses incurred by Authing while performing the Professional Services, including without limitation, transportation services, lodging, and meal and out-of-pocket expenses related to the provision of the Professional Services. Authing will include reasonably detailed documentation of all such expenses with each related invoice.

5.3. Taxes.

Fees do not include and may not be reduced to account for any taxes including any local, state, federal or foreign taxes, levies, duties or similar governmental assessments of any nature, including value-added, use or withholding taxes (collectively, “Taxes”). Customer is responsible for paying all Taxes associated with its purchases hereunder (excluding taxes based on Authing’s net income or property) unless Customer provides Authing with a valid tax exemption certificate authorized by the appropriate taxing authority.
